Condition of Sale

These General Terms and Conditions of Sale (“Sale Terms”), together with the Terms of Use, Privacy Policy, and Mae Guarantee, form the agreement between Maecenarts UG (“Mae”, “we”) and you as a buyer or seller using Mae’s marketplace and paid commerce features on the Mae App and websites (the “Services”).
Capitalized terms not defined here have the meaning in the Terms of Use. If you use the Services on behalf of an organization, you represent you are authorized to bind it.
1. Role of Mae
Mae provides tools for users to list, discover, offer, and purchase artworks and related items (“Items”). Except where Mae expressly identifies itself as the seller of a specific Item, Mae is a marketplace intermediary: buyers and sellers contract with each other, and Mae is not the owner, manufacturer, or insurer of Items, and is not a party to the sale contract between them.
Mae may facilitate messaging, payments (including via Stripe Connect or similar), shipping estimates, and dispute support for convenience. Any guidance on pricing or shipping is informational only. Descriptions and condition information are based on seller-provided data and are not independent warranties by Mae unless stated in writing.
2. Eligibility & accounts
To buy or sell you must meet the eligibility rules in the Terms of Use, keep accurate account information, and comply with applicable law (including anti-money-laundering and sanctions rules). We may request identity, tax, or payout verification before enabling sales or releases of funds.
3. Seller obligations
When you list or sell an Item, you agree that you:
- have all rights needed to sell the Item and pass good title;
- provide accurate descriptions, images, dimensions, condition notes, authenticity information, and shipping/pickup options;
- will not list prohibited, stolen, counterfeit, or illegally exported goods;
- will not manipulate prices, shill bid, or interfere with other listings;
- will fulfill accepted sales promptly, pack Items reasonably, and communicate tracking where you arrange shipping;
- authorize Mae to display and promote your listing and, where relevant, sale outcomes on the Services and in marketing.
Sales are generally final once confirmed, subject to the Mae Guarantee, mandatory consumer rights, and any seller conditions clearly disclosed on the listing (“Seller Conditions”). Seller Conditions may govern the buyer–seller relationship where they do not conflict with mandatory law or Mae’s rights.
4. Buyer obligations
When you purchase or make an offer, you agree that you:
- review the listing, images, and available condition information before buying;
- understand that dimensions are approximate and photographs are for identification; frames and secondary materials may have faults not fully described;
- submit binding offers/bids where the feature is offered, and complete payment for accepted transactions by the stated deadline;
- pay the total amount due, including Item price, applicable Mae service fees, payment-processor fees, shipping/insurance (if applicable), artist resale royalty where due, and taxes/duties.
5. Pricing, fees & taxes
Mae may charge platform service fees (for example, up to 5% on certain sales) in addition to Stripe or other processor fees. Fee schedules may be shown at checkout or in seller settings and can change prospectively.
Prices are generally exclusive of VAT and other transactional taxes unless stated. Buyers are responsible for applicable taxes and for customs duties on cross-border shipments. Mae does not provide tax advice. Sellers are responsible for determining and remitting any artist resale royalties required by law.
6. Payment
Payments are processed by third-party providers (such as Stripe). Mae may collect funds on behalf of sellers and release payouts according to the provider’s and Mae’s payout rules after confirmation, inspection windows, or dispute holds. Currency conversion fees may apply.
If a buyer defaults, Mae may cancel the sale, seek recovery of amounts owed, and restrict account features. Off-platform payments for transactions initiated on Mae are discouraged and generally void Mae Guarantee coverage.
7. Title, risk & shipping
Unless otherwise agreed in writing, risk of loss passes according to the shipping arrangement disclosed at sale (for example, when the carrier takes possession or upon delivery). Buyers and sellers must provide accurate addresses and cooperate to complete delivery or pickup.
International shipments may require customs information, permits, and additional buyer-paid duties. Delays in permits do not automatically cancel a sale. Sellers must not ship restricted materials.
Where Mae helps arrange shipping, pre-sale estimates are informational and may change. Claims for in-transit damage or loss should be reported promptly with photos and packaging retained, as described in the Mae Guarantee.
8. Cancellations & consumer rights
Marketplace purchases are generally final once confirmed, except where the Mae Guarantee applies, Mae cancels for policy or fraud reasons, or mandatory law provides a withdrawal right (for example, certain distance contracts for EU/UK consumers). Live auction formats and custom-made works may be exempt from withdrawal rights where permitted by law.
Event tickets and memberships follow the refund rules disclosed at purchase and in the Terms of Use.
9. Authenticity & seller warranties
Sellers represent that Items are as described and that authorship and provenance statements are not knowingly false. Gross misrepresentation, counterfeits, or inauthentic works sold as “by” an artist may trigger Mae Guarantee remedies and seller repayment obligations to Mae and the buyer.
Listings marked “Attributed to” or similar signal uncertainty; authenticity protection may not apply to those formulations.
10. User information
Buyers and sellers may receive limited contact or shipping information to complete a transaction. Use that information only for the transaction, keep it confidential, and do not spam. See the Privacy Policy for broader data practices.
11. Disputes between users
Buyers and sellers should attempt to resolve issues in good faith. Mae may, but is not obligated to, mediate. Decisions Mae makes when applying the Mae Guarantee or anti-fraud policies are final as between you and Mae regarding Mae’s payout or refund actions, without limiting court rights against the other user where available.
12. Limitation of liability
Marketplace liability limits in the Terms of Use apply. Mae is not liable for seller or buyer conduct, Item quality beyond Guarantee commitments, or carrier failures outside Mae’s control, except where mandatory law provides otherwise.
13. Indemnity
You will indemnify Mae against claims arising from your listings, Items, shipping, tax obligations, or breach of these Sale Terms.
14. Changes & contact
We may update these Sale Terms prospectively. Continued use of commerce features after the Updated date constitutes acceptance.
